General Terms and Conditions

1. General information

1.1 All orders placed by a client with Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung are subject to these General Terms and Conditions.

1.2 Abweichende Vereinbarungen bedürfen der Schriftform. Anderslautende Geschäftsbedingungen des Kunden werden nur Vertragsbestandteil, wenn Dr. Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung diese ausdrücklich schriftlich anerkennt.Deviating agreements must be made in writing. Any other terms and conditions of the customer shall only become part of the contract if Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung expressly recognises these in writing.

1.3 These terms and conditions shall also apply to future transactions between the contracting parties from the time of their first inclusion.

2. Conclusion of contract

2.1 The contract is concluded with the order confirmation by Dr Rudolf Schinnerl. Business Financial Analysis and Consultancy.

2.2 Unmittelbar nach Erteilung der Auftragsbestätigung wird, sofern nichts anderes vereinbart wird, mit der Ausführung des Auftrages begonnen. Ein Widerrufsrecht oder Rückgaberecht für erbrachte Dienstleistungen besteht daher gemäß § 312, d, Abs. 3, Ziffer 2 BGB nicht.Unless otherwise agreed, execution of the order shall commence immediately after the order confirmation has been issued. There is therefore no right of cancellation or right of return for services rendered in accordance with § 312, d, para. 3, no. 2 BGB.

3. Time for the provision of services, delays

3.1 The time for the provision of the services shall be determined by the agreement between the contracting parties. The prerequisite for compliance with this deadline is that all issues essential for the fulfilment of the order have been clarified. If this is not the case, the performance period shall be extended accordingly. This shall also apply in the event that non-compliance with the performance period is due to force majeure. Dr Rudolf Schinnerl shall not be liable for delays resulting from the failure of third parties, such as database or telecommunications service providers. Betriebswirtschaftliche Finanzanalyse und Beratung is not responsible for delays caused by third parties such as database or telecommunication service providers.

3.2 Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung shall be in default with its services if it allows a reasonable deadline set for it to expire fruitlessly. If Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung is in default and the client suffers a loss as a result, the client shall be entitled, to the exclusion of further claims for compensation, to claim compensation for default in the amount of 0.5% per week, up to a maximum of 5% of the value of that part of the overall service that cannot be used on time or in accordance with the contract as a result of the delay. Further claims arising from delay shall be governed exclusively by Section 6 of these General Terms and Conditions. Cancellation by the customer is only possible after setting a reasonable grace period. In the event of a justified cancellation, Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung retains the right to remuneration for the services rendered up to the cancellation.

4. Prices and terms of payment

4.1 All prices are subject to VAT at the rate applicable at the time the service is provided.

4.2 The agreed payment is to be made on the agreed date without deduction. Method of payment: always on account.

4.3 The customer shall only be entitled to withhold payments or offset them against counterclaims to the extent that his claims are undisputed or have been recognised by declaratory judgement.

5. Copyright and terms of use

The original documents provided and copies thereof are intended solely for the information of the customer. The use of the documents is only permitted within the scope of the legal restrictions of copyright law. Any disclosure to third parties, archiving, publication, reproduction or distribution requires the prior written consent of the copyright holder. Trademarks, logos and industrial property rights must be observed. Corresponding references may not be removed. The customer is liable for misuse and indemnifies Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung from any liability.

6. Liability

6.1 Dr Rudolf Schinnerl. Business financial analysis and consulting is liable - regardless of the legal grounds - only for
- in the event of wilful intent, gross negligence on the part of the owner, the executive bodies or senior employees,
- in the event of culpable injury to life, limb or health,
- in the event of defects that have been fraudulently concealed or where a guarantee for the quality of the subject matter of the contract has been expressly assumed,
- in the event of defects in the object of performance, insofar as liability exists for personal injury or property damage under the Product Liability Act,
- in the event of culpable breach of material contractual obligations - also for non-executive employees.

6.2 In the aforementioned cases - with the exception of liability under the Product Liability Act - the liability of Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung is limited to the reasonably foreseeable damage typical for the contract.

6.3 Further claims for damages, including compensation for financial losses - irrespective of the legal grounds - are excluded.

6.4 Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung accepts no liability for the completeness, currency and accuracy of the information provided.

6.5

The client is expressly advised that the information, analyses, expert opinions, etc. provided by Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung are subjective expressions of opinion. Even if they have been prepared to the best of our knowledge, they cannot be used on their own - i.e. without the other information usually obtained - as a basis for major decisions, in particular investment decisions.

7. Datenschutz

7.1 The customer's personal data is stored insofar as this is necessary for the fulfilment of a contract. With the customer's consent, the personal data may also be used for customer care purposes in addition to contract processing, in particular for product and service information, newsletters or surveys.

7.2 According to § 33, para. 1 BDSG, Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung is obliged to inform the customer of the first storage or transmission. This is hereby done. No further notification will be made.

8. Place of fulfilment, applicable law, place of jurisdiction

8.1 The place of fulfilment for the provision of services is Düsseldorf.

8.2 The contractual relationship between the client and Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung shall be governed by German law. The application of the UN Convention on Contracts for the International Sale of Goods is excluded.

8.3 The place of jurisdiction for all disputes is Düsseldorf, provided that the customer is a merchant, a legal entity under public law or a special fund under public law.

9. Final provisions

9.1 Verbal agreements are only effective if they are confirmed in writing by Dr Rudolf Schinnerl. Betriebswirtschaftliche Finanzanalyse und Beratung in writing.

9.2 Should one or more provisions of these General Terms and Conditions be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a substitute provision that comes as close as possible to the economic intentions of the contracting parties. The same applies in the event of a loophole.
